Terms of use

These Terms govern your use of SAL Tools at salprojects.com/tools. SAL Tools is operated by Schappert Associates. By visiting the site, creating an account, uploading a file, using a tool, or paying for a plan, you accept these Terms and the Privacy page. If you do not agree, do not use SAL Tools.

Accounts

You must provide accurate account information and keep your password, sign-in codes, and other credentials safe. You are responsible for activity under your account. SAL Tools applies a last-three-devices rule as implemented in the service; you may be asked to verify a new device or remove an old one. Do not share credentials or use another person’s account.

Licence and acceptable use

Subject to these Terms and any applicable plan limits, Schappert Associates grants you a limited, non-exclusive, non-transferable, revocable licence to use SAL Tools for your own lawful work. You keep ownership of files you upload and outputs you download, but you give us permission to process them to provide the service. Do not attack or disrupt the site, bypass access controls or plan limits, upload malware or unlawful material, infringe another person’s rights or confidentiality, or use the tools to break someone else’s software licence.

Paid plans and custom tools

Paid plans are billed monthly or yearly. Yearly plans are prepaid, receive 25% off, and are non-refundable. Cancelling a yearly plan stops auto-renewal; access continues until the end of the paid year. We send a reminder 30 days before renewal. Monthly plans continue until the end of the current paid month after cancellation. Custom tools are quoted on request and paid separately; they are not part of the Full toolkit. Stripe handles payment.

Check every output

Outputs are tools to assist a professional, not professional advice or a guarantee of a correct schedule, conversion, check, fix, report, or model. You are responsible for checking every output before relying on it or sending it to anyone. Keep your own originals and working records.

No warranty; limitation of liability

SAL Tools is provided “as is” and “as available”, without warranties of any kind, express or implied. Schappert Associates is not liable for indirect, incidental, special, consequential, or punitive loss, lost profit, schedule delay, or data loss. Schappert Associates’ total liability for any claim is limited to the fees you paid to Schappert Associates in the 12 months before the claim arose.

Suspension and termination

We may suspend or terminate access if you breach these Terms, misuse the service, create a security or legal risk, or fail to pay. You may stop using an account at any time. Suspension or termination does not remove obligations that should reasonably continue, including payment obligations, ownership, indemnity, disclaimers, and liability limits.

Indemnity

You agree to indemnify and hold Schappert Associates harmless from claims, losses, liabilities, and reasonable costs arising from your misuse of SAL Tools, your breach of these Terms, or your violation of another person’s rights.

Changes

We may update these Terms when the service or law changes. The updated version will be posted here with a new “Last updated” date. Your continued use after an update means you accept the updated Terms.

Governing law and contact

These Terms are governed by the laws of Manitoba and the federal laws of Canada that apply there.
